Copyright Policy

1. Archival Purpose and Disclaimer
Froze ("Platform"), operated by PRX LLC ("Company", "we", "us", "our"), archives publicly accessible web pages for the purpose of preservation, research, scholarship, and reference. We act as a neutral, automated archival platform and do not review, endorse, verify, or assume any responsibility for the content of archived pages. The presence of any content on the Platform does not constitute an endorsement, representation, or guarantee by PRX LLC regarding the accuracy, legality, or appropriateness of such content. PRX LLC expressly disclaims any and all liability arising from or related to archived third-party content.
2. Ownership of Content
All archived content remains the sole intellectual property of its original authors, publishers, and rights holders. Froze does not claim ownership of any content archived through the Platform. Users who submit URLs for archiving represent and warrant that their use of the Platform does not violate any applicable law or infringe upon any third-party rights. Users are solely responsible for any claims arising from URLs they submit.
3. Fair Use and Legal Basis
Our archival activities are conducted in reliance upon the principles of fair use as codified in Section 107 of the U.S. Copyright Act (17 U.S.C. § 107) and analogous provisions under international copyright law. We believe that our archival activities serve a transformative, non-commercial purpose by providing preservation and reference access to web content that may otherwise be modified, relocated, or permanently lost. However, PRX LLC makes no legal determination or representation as to whether any specific archived content qualifies as fair use, and nothing on the Platform constitutes legal advice.
4. Designated Agent and DMCA Takedown Requests
PRX LLC respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. If you are a copyright owner, or authorized to act on behalf of one, and believe that content archived on the Platform infringes your copyrights, you may submit a written takedown notification to our designated agent. Your notification must include all of the following:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
- Identification of the copyrighted work(s) claimed to have been infringed, or, if multiple works are covered by a single notification, a representative list of such works
- Identification of the specific archived material that is claimed to be infringing or to be the subject of infringing activity, including the URL(s) on froze.app where such material is located, in sufficient detail to permit us to locate it
- Your full legal name, mailing address, telephone number, and email address
- A statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law
- A statement, made under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or are authorized to act on behalf of the copyright owner
Please be advised that under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing may be subject to liability for damages, including costs and attorneys' fees. DMCA notifications should be sent to [email protected].
5. Counter-Notification
If you believe that material you submitted or that was archived at your request was removed or disabled as a result of a mistake or misidentification, you may submit a written counter-notification to our designated agent. Your counter-notification must include:
- Your physical or electronic signature
- Identification of the material that was removed or disabled, and the URL where it appeared before removal
- A statement under penalty of perjury that you have a good faith belief that the material was removed or disabled as a result of mistake or misidentification
- Your full legal name, mailing address, telephone number, and email address
- A statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if your address is outside the United States, any judicial district in which PRX LLC may be found), and that you will accept service of process from the person who submitted the original DMCA notification or an agent of such person
Upon receipt of a valid counter-notification, we will forward it to the party who filed the original takedown notice. If the original complainant does not file a court action within ten (10) business days, we may restore the removed material at our sole discretion.
6. Repeat Infringers
In accordance with the DMCA and other applicable laws, it is our policy to terminate, in appropriate circumstances and at our sole discretion, the accounts or access of users who are determined to be repeat infringers. We may also, at our sole discretion, limit access to the Platform or terminate the access of any user who infringes the intellectual property rights of others, whether or not there is any repeat infringement.
7. No Obligation to Monitor
PRX LLC has no obligation to monitor, screen, review, or edit any content archived on the Platform. However, we reserve the right to remove, disable access to, or modify any archived content at any time and for any reason, including but not limited to content that we determine, in our sole discretion, may violate these policies, applicable law, or third-party rights, without prior notice and without liability.
8. Limitation of Liability for Third-Party Content
PRX LLC shall not be liable for any claims, damages, or losses arising from or related to any content archived on the Platform, including but not limited to claims of copyright infringement, defamation, invasion of privacy, or any other legal theory. Users access archived content at their own risk. To the maximum extent permitted by applicable law, PRX LLC disclaims all liability related to third-party content archived on the Platform.
9. Robots.txt and Access Controls
While we endeavor to respect robots.txt directives and similar access-control mechanisms when crawling and archiving web content, we make no guarantee that all such directives will be detected or followed in every case. Website operators who wish to prevent their content from being archived should contact us directly at [email protected]. Compliance with robots.txt is provided as a courtesy and does not constitute a legal obligation.
10. Modifications
We reserve the right to modify this Copyright Policy at any time at our sole discretion. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform constitutes acceptance of the modified policy.
